Terms of Service
1. Introduction and Acceptance
These Terms of Service constitute a legally binding agreement between you and Vizoryo Ltd., a company organized under the laws of the State of Israel.
By accessing or using the Vizoryo platform, website, APIs, or any related services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all other policies referenced herein.
If you do not agree to these Terms, you must not access or use the Service. We may modify these Terms at any time with at least 30 days' prior notice for material changes.
2. Description of the Service
Vizoryo operates an AI-powered platform that builds and maintains a global index of AI-readable business profiles. The Service includes:
- AI Visibility Audits — automated analysis of business websites producing an AI Visibility Score and insights.
- Business Profiles (presented in the product interface as your "AI Identity") — structured profiles generated from publicly available data, designed for AI systems and knowledge graphs.
- Public Business Index — a publicly accessible directory of business profiles by location and category.
- Profile Claim and Management — tools for authorized business representatives to claim, verify, and edit their profiles.
- Subscription Services — paid tiers (Verified and Managed) offering enhanced features.
- AI-generated recommendations and insights for paid subscribers.
The Service is provided on an "as is" and "as available" basis. Vizoryo does not guarantee uninterrupted access, error-free operation, or the accuracy of any data or scores.
3. Eligibility
You must be at least 18 years of age to use the Service.
You must not use the Service if prohibited by applicable law or if your account has been previously terminated by Vizoryo.
To claim or manage a business profile, you must be an authorized representative of that business.
4. User Accounts
To access certain features, you must create an account with accurate and complete information.
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
Each individual may maintain only one account. Multiple accounts to circumvent restrictions are prohibited.
Vizoryo may suspend or terminate your account immediately for: (a) material breach of these Terms, (b) illegal activity, (c) non-payment of subscription fees after a 14-day grace period, or (d) conduct that threatens the security or integrity of the Service. For any other reason, Vizoryo will provide at least 30 days' written notice before termination, during which you may export your data. Terminated users retain the right to request data export and deletion under applicable data protection law.
Upon account termination or deletion, your personal data will be deleted within 30 days, except where retention is required by law (e.g., payment records retained for 7 years for tax compliance). Published business profiles will be removed from the public Index within 30 days of account deletion. Audit results associated with your account will be anonymized or deleted within 30 days. You may request immediate data export before account deletion by contacting privacy@vizoryo.com.
5. Subscription Plans and Payment
Vizoryo offers a free tier with limited access, including audits and a preview of your business profile. Free-tier profiles are not published in the public Index.
Paid subscriptions (Verified and Managed) offer enhanced features as described on our pricing page. Fees are charged on a recurring basis.
Payments are processed through Paddle.com Market Ltd. (international) or HYP (for customers billed in Israeli Shekel). Vizoryo does not store full credit card numbers.
Subscriptions automatically renew unless cancelled before the renewal date. Vizoryo will send a renewal reminder email at least 14 days before each renewal, as required by Israeli Consumer Protection Law. For refund terms, see our Refund Policy.
Vizoryo reserves the right to change subscription prices with 30 days' prior notice.
EU Consumers: If you are a consumer in the European Union, you have a 14-day right of withdrawal from the date of subscription. You may cancel within this period for a full refund by contacting legal@vizoryo.com. This right applies in full regardless of whether you have used any paid features during the withdrawal period.
6. Business Profiles and the Public Index
Vizoryo may create business profiles based on publicly available information. Businesses may appear in the Index without having registered.
Inclusion in the Index does not constitute an endorsement or recommendation by Vizoryo.
While we strive for accuracy, we do not warrant the accuracy, completeness, or currency of any profile data.
Authorized business representatives may claim their profile through our verification process.
Businesses may request removal of their profile from the public Index. Requests are processed within 30 days.
7. AI Visibility Score
The AI Visibility Score is a proprietary algorithmic assessment. It is an informational metric only and does not guarantee actual AI system behavior or search rankings.
Vizoryo does not guarantee that any score will result in improved visibility or recommendations by any AI system.
The scoring methodology may change from time to time. A summary of the methodology is available in our AI Disclaimer. You may request human review of any scoring decision by contacting privacy@vizoryo.com.
AI-generated content (summaries, recommendations, insights) is provided for informational purposes only and may contain errors.
Nothing in the Service constitutes legal, financial, marketing, or professional advice.
8. Intellectual Property
The Service, including its software, algorithms, scoring methodologies, and data compilations, is the proprietary property of Vizoryo protected by intellectual property laws.
By submitting content, you grant Vizoryo a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, and distribute such content in connection with the Service.
By providing feedback, suggestions, or improvement ideas, you grant Vizoryo a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, and incorporate such feedback into the Service. You retain ownership of your feedback and any pre-existing intellectual property contained therein. This license does not affect your moral rights where applicable under local law.
Systematic extraction, reproduction, or commercial use of Index data without written permission is prohibited.
9. Prohibited Conduct
You agree not to: violate any applicable law; scrape or extract data in an automated manner outside authorized APIs; reverse-engineer the Service; circumvent security measures; submit false information; impersonate others; transmit spam or malware; interfere with the Service; create multiple accounts to circumvent restrictions; engage in SEO spam; or manipulate AI Visibility Scores through deceptive practices.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Vizoryo does not warrant that the Service will be uninterrupted, secure, or error-free, or that results will be accurate or reliable.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Vizoryo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
Vizoryo's total aggregate liability under these Terms shall not exceed the total fees actually paid by you to Vizoryo in the twelve (12) months immediately preceding the event giving rise to the claim.
The limitations in this section do not apply to: (a) damages arising from Vizoryo's gross negligence or willful misconduct; (b) fraud or fraudulent misrepresentation; (c) death or personal injury caused by negligence; (d) any liability that cannot be limited or excluded under applicable law, including the Israeli Protection of Privacy Law and mandatory consumer protection regulations.
12. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Vizoryo from any claims arising from your violation of these Terms or infringement of third-party rights. This indemnification obligation does not apply to consumers in jurisdictions where such clauses are prohibited by mandatory consumer protection law.
13. Third-Party Services
The Service may integrate with third-party services (Paddle, HYP, Supabase, etc.). Your use of those services is governed by their own terms. Vizoryo is not responsible for third-party services.
14. Dispute Resolution
Before formal proceedings, you agree to attempt informal resolution by contacting legal@vizoryo.com for at least 30 days.
These Terms are governed by the laws of the State of Israel, without regard to conflict of law principles. Disputes are subject to the exclusive jurisdiction of the courts in Tel Aviv-Jaffa, Israel, except that: (a) consumers in the EU/EEA may bring proceedings in the courts of their country of residence, as guaranteed by EU Regulation 1215/2012 (Brussels I bis); (b) California residents retain the right to enforce CCPA/CPRA rights in California courts; and (c) nothing in this section limits your right to seek injunctive relief in any court of competent jurisdiction.
For users in the United States: You agree to resolve disputes through binding arbitration administered by JAMS under its Comprehensive Arbitration Rules. Arbitration will be conducted in English, by a single arbitrator, via telephone or video conference unless in-person is requested. For claims under $10,000 USD, Vizoryo will pay all arbitration fees; for larger claims, costs are shared per JAMS rules. You may opt out of this arbitration provision by sending written notice to legal@vizoryo.com within 30 days of creating your account. You and Vizoryo each waive the right to participate in a class action, class arbitration, or representative proceeding. This arbitration clause and the class action waiver in this section do not apply to consumers in the EU/EEA, who retain full access to their local courts and all rights available under applicable consumer protection law.
15. Miscellaneous
These Terms constitute the entire agreement between you and Vizoryo regarding the Service.
If any provision is found unenforceable, the remaining provisions continue in full force.
Vizoryo's failure to enforce any right shall not constitute a waiver.
Vizoryo may assign its rights without restriction. You may not assign yours without prior written consent.
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond our reasonable control that could not have been avoided through commercially reasonable contingency planning, including but not limited to: acts of God, natural disasters, war or armed conflict, terrorism, pandemics or epidemics, government actions or regulations, embargoes, power outages, internet disruptions, or cyberattacks. The affected party must provide notice within 48 hours of becoming aware of the event and must use reasonable efforts to mitigate its impact.
Israeli customers — billing and disclosure
For customers who subscribe in Israeli Shekel, the seller is Vizoryo Ltd. (company no. 513640508, Degania 12, Petah Tikva, Israel). Prices shown to Israeli customers include 18% VAT, and a tax invoice (חשבונית מס) is issued for each charge. The subscription is a continuing transaction billed in advance for each period by a recurring credit-card charge (standing order) processed by HYP, and it renews automatically until cancelled.
